Section 01
Where We Are
I want to be fully transparent about UpLink's current position. This is a debt investment from Fibernetics Ventures, and the situation is difficult. Here are the numbers.
| Item |
Amount |
| Arrears — Frontier |
$175,000 |
| Arrears — Beaver |
$12,000 |
| Monthly Burn Rate |
$25,000 |
| Interest Payments |
Late |
| Status |
Effectively Insolvent |
This is uphill. I'm not going to pretend otherwise. But every viable path has been explored, and I want to walk you through what's real and what isn't.
Section 02
Options Explored
I've worked through five distinct paths. Some are dead. Some are alive. Here's the honest assessment of each.
The Concept
- Fund new signed installs through a lock box structure
- $1,500 per new client acquired
- Funder receives a funding rip on each install
- 24-month payoff horizon
What Happened
- Jeff reviewed the structure and recommended engaging a securities lawyer
- Legal counsel (Dave) was direct and unambiguous
⚠️ "You will get sued." — The OM structure triggers securities regulation issues in the context of an insolvent entity. Any funder who takes a loss has grounds for litigation. This option is off the table.
This is the structural fix. Everything else depends on this landing.
The Plan
- Comprehensive books cleanup — estimated 2 months of work
- Adam is engaged and actively working on this
- Build a clear picture of operational sophistication, asset value, and true financial status
What This Unlocks
- Investor confidence — clean books and a real budget plan gets signoff from existing investors
- Traditional financing — a lender can underwrite against demonstrated asset value
- Tells the real story: what UpLink owns, what it earns, and what it's worth
Status
This project is bigger than originally scoped, but it is progressing and when it's done, it will be the foundation for everything else.
The Opportunity
- 10,000 doors currently in queue
- Partners and relationships ready to proceed
The Reality
- "Proceed" means a multi-year rollout — not immediate capital
- This is not a "$250K on Wednesday" solution
- Real long-term value, but not a near-term liquidity play
Status
Done and in queue. Needs a dedicated relationship manager to roll out over time. Strong asset on the balance sheet.
Cross-portfolio play that creates immediate value.
The Concept
- Develop and demo a new product under the Fongo brand
- Allocate UpLink staff to build and roll out the plan
- Creates cross-portfolio value between Fongo and UpLink
Why This Matters Now
- Generates revenue today
- Keeps the UpLink team productive and employed
- Bridges the gap while books cleanup (Option B) completes
- Demonstrates we're building, not just stabilizing
Status
Actionable immediately.
The Reality
- FVI is aware of current exposure and is not comfortable extending further
- We must become unexposed by December 2025
- This door opens only after we've de-risked — which means Option B must land first
⚠️ This is not an option today. It's a constraint that governs the timeline for everything else. December is the hard deadline.
Section 03
The Plan
Four phases. Clear dependencies. Every action ladders to the December deadline.
Now
Fongo FreeNet
launches
Bridge
Staff working
& earning
Foundation
Books done (Aug)
Asset value clear
Investor signoff
Growth
Loan / refinance
MDU rollout
FVI resolved (Dec)
Priority Stack
1
Books Cleanup (Option B)
The structural fix. Everything depends on this.
2
Fongo FreeNet (Option D)
The bridge. Revenue and momentum now.
3
MDU Buildout (Option C)
The long game. Strategic multiyear play.
4
FVI De-risk (Option E)
The deadline. Unexposed by December.
Section 05
The Honest Truth
This is hard. UpLink is in a tough spot and I won't pretend otherwise.
But here's what's also true:
Every option has been explored — including the ones that don't work. I killed the Offering Memorandum myself after getting legal input. I'm not chasing bad ideas.
The options that do work are in motion. Adam is on the books. Fongo FreeNet is actionable now. MDU is queued with a plan.
There is a clear path from here to stable, and from stable to growth. The December deadline with FVI is tight but achievable if we execute.
I'm not asking you to believe it's easy.
I'm asking you to see that the work is being done,
the plan is real, and we're moving.
